Introduction, Scope & Acceptance

Entity: ROOTED BY NATURE SERVICES LLP, having its registered office at C-535, Defence Colony, 2nd Floor, New Delhi - 110024 ("Khidhki", "we", "us", or "our").

Counterparty: The individual or entity registering as a Customer or Service Provider on the Khidhki website and mobile application ("you" or "your").

This document constitutes a legally binding agreement between you and ROOTED BY NATURE SERVICES LLP governing your access to and use of the services and functionalities offered through khidhki.com (collectively, the "Platform").

These Terms and Conditions ("Terms") shall be read together with Khidhki's Privacy Policy and any additional policies, guidelines, or supplemental terms that may be issued or updated by Khidhki from time to time (collectively, "Supplemental Terms"). These documents collectively form an integral part of this Agreement.

By accessing or using the Platform, whether as a Customer seeking services or a Service Provider offering them, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms, the Privacy Policy, and any applicable Supplemental Terms. If you do not agree, you must immediately cease using the Platform.

You represent and warrant that:

  • You are at least eighteen (18) years of age and legally competent to enter into this Agreement under the Indian Contract Act, 1872; and
  • Where you act on behalf of a company, partnership, or organisation, you are duly authorised to bind such entity to this Agreement.

Khidhki operates as a technology intermediary under the Information Technology Act, 2000 and related rules. The Platform facilitates discovery, booking, communication, payments, and dispute resolution between Customers and independent Service Providers ("Service Providers").

All contractual engagements for professional services are formed directly between the Customer and the respective Service Provider. Khidhki does not control, supervise, or guarantee the performance, quality, or legality of any services offered by Service Providers, but retains final administrative authority over platform compliance, payments, cancellations, refunds, and disputes.

Khidhki may amend or update these Terms at any time by posting a revised version on the Platform. Updates may be made with or without prior notice, at Khidhki's discretion. The Effective Date indicated above reflects the latest date of revision. Your continued use of the Platform following such publication constitutes acceptance of the amended Terms.

This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to binding arbitration under the Arbitration and Conciliation Act, 1996, as further detailed in Clause 10 (Dispute Resolution).

1. Services

1.1 Nature of Platform and Scope of Services

Khidhki operates an online platform that enables Customers to discover, communicate with, book, and pay for services offered by independent Service Providers.

The Platform may host a variety of service categories, including but not limited to health and wellness, arts and culture, language learning, religion and spirituality, finance and legal services, education, consulting, and other professional or curated services.

Khidhki does not provide, perform, or control the services listed on the Platform. All services are provided independently by the respective Service Providers, who remain solely responsible for the quality, delivery, legality, and outcomes of their services.

1.2 Role as Technology Intermediary

Khidhki functions solely as a technology and payment intermediary, as recognised under Sections 2(w) and 79 of the Information Technology Act, 2000.

The Platform enables:

  • Discovery and selection of Service Providers by Customers;
  • Communication and exchange of information between Customers and Service Providers;
  • Booking and payment processing through authorised payment gateways; and
  • Administrative support for cancellations, refunds, and dispute resolution, where applicable.

Khidhki's role is strictly facilitative and administrative in nature and does not create an employer-employee, principal-agent, partnership, joint venture, or similar relationship between Khidhki and any Service Provider. All Service Providers operate as independent contractors.

1.3 Communication Facilitation

The Platform includes an in-built messaging system that enables Customers and Service Providers to communicate regarding the scope of services, deliverables, timelines, booking requirements, and other engagement-related matters.

All such communications shall be conducted exclusively through the Platform and may be monitored, recorded, or reviewed by Khidhki for the limited purposes of compliance, dispute resolution, fraud prevention, platform security, and service improvement.

Khidhki does not control or endorse any statements made by users through the in-built messaging system and shall not be liable for the content, accuracy, legality, or reliability of such communications.

However, messages exchanged through the Platform's messaging system may constitute official records of an engagement and may be relied upon for clarification, verification, or dispute resolution purposes.

1.4 Independence of Service Providers

Each Service Provider operates independently and is solely responsible for:

  • The accuracy and legality of their profile, qualifications, portfolio, listings, and representations;
  • The quality, delivery, and performance of services offered through the Platform;
  • Compliance with agreed timelines, deliverables, and customer commitments; and
  • Compliance with all applicable laws, regulations, licensing requirements, tax obligations, intellectual property rights, and data protection requirements.

Khidhki does not supervise or guarantee the work performed by any Service Provider. However, to protect customers, Service Providers, and the integrity of the Platform, Khidhki may take appropriate action in relation to disputes, complaints, refunds, cancellations, account restrictions, or other platform-related matters.

1.5 Limited Contractual Involvement

For the limited purpose of facilitating payments, refunds, cancellations, and dispute resolution, Khidhki may act as a payment collection agent on behalf of Service Providers. Such limited involvement shall not be construed as Khidhki assuming liability for the acts, omissions, representations, warranties, or non-performance of either party. Khidhki's financial liability in any transaction shall be limited strictly to the Platform fees or service fees retained by it.

1.6 Territorial Scope

The Platform and its operations are intended for use globally, with a particular focus on Non-Resident Indians ("NRIs"). By accessing or using the Platform, you represent and warrant that your use of the Platform complies with all laws applicable to you and that all services booked or performed through the Platform are conducted in accordance with applicable Indian laws and regulations.

1.7 Communications and Notifications

In the ordinary course of providing services through the Platform, Khidhki may send transactional, operational, service-related, or legally required communications through email, SMS, WhatsApp, push notifications, or other electronic means. Such communications may include booking confirmations, payment receipts, reminders, dispute updates, account notifications, security alerts, and other system-generated communications.

Users may opt out of non-essential promotional communications by contacting letsconnect@khidhki.com. However, opting out of transactional, operational, security-related, or legally required communications may limit Khidhki's ability to provide certain services and shall not relieve users of their obligations under these Terms.

2. Account Creation and Usage

2.1 Account Registration

To access or use the Platform, every user, whether a Customer or a Service Provider, must create a valid account ("Account") by providing accurate, complete, and verifiable information, including their full legal name, mobile number, and a valid email address.

You agree to keep all information current and accurate at all times. Khidhki reserves the right to verify any details provided, request supporting documentation, or reject any registration that fails verification or appears suspicious, at its sole discretion.

2.2 Eligibility

By registering on the Platform, you confirm and represent that:

  • You are at least eighteen (18) years of age and legally competent to enter into a binding contract under the Indian Contract Act, 1872;
  • You are not barred or otherwise disqualified under any Indian or international law, order, or regulation from offering or availing professional services through the Platform; and
  • You agree to comply with all applicable laws, including those relating to taxation, data protection, and intellectual property.

Khidhki relies in good faith on your representation of legal eligibility and does not routinely verify the age or legal capacity of users registering as Customers. However, Khidhki reserves the right to request supporting identification or documentation at its discretion and may suspend or terminate any account where age, identity, or eligibility cannot be reasonably verified.

For Service Providers, additional verification and compliance documentation may be required, including but not limited to:

  • Government-issued identification (e.g., Aadhaar, PAN);
  • Portfolio or work samples;
  • Verified bank-account details for payouts; and
  • GST Registration Number (if applicable).

Khidhki may also request proof of address, a cancelled cheque, business registration certificates, licences, permits, or other supporting documentation where necessary for compliance, fraud prevention, verification, or payout processing.

2.3 Account Security

You are solely responsible for maintaining the confidentiality and security of your login credentials and for all activities conducted under your Account. Khidhki shall not be liable for any loss, claim, or damage resulting from unauthorised access to your Account due to your failure to safeguard your credentials. If you suspect any unauthorised access to or misuse of your Account, you must immediately notify Khidhki at letsconnect@khidhki.com.

2.4 Prohibited Account Activities

You agree not to:

  • Create multiple Accounts under the same or different identities for deceptive, fraudulent, or abusive purposes;
  • Impersonate another person or misrepresent your identity, affiliation, qualifications, or authority;
  • Use another person's Account or allow third parties to operate or access your Account without authorisation;
  • Share, request, or exchange personal or business contact details (including but not limited to phone numbers, email addresses, social media handles, or alternative websites) for the purpose of circumventing the Platform's booking, payment, or communication systems;
  • Engage in any unlawful, abusive, misleading, defamatory, fraudulent, or harmful activity;
  • Attempt to hack, manipulate, scrape, reverse engineer, interfere with, or exploit any portion of the Platform, its systems, or its data; or
  • Use the Platform in any manner that may harm Khidhki, its users, Service Providers, or business operations.

Any such activity shall constitute a material breach of this Agreement and may result in immediate suspension, termination, or permanent deactivation of your Account, along with forfeiture of any pending payouts, credits, or benefits, where permitted by applicable law.

2.5 Account Suspension or Termination

Khidhki reserves the right, at its sole discretion and without prior notice, to:

  • Suspend, restrict, or permanently deactivate any Account found to be in violation of these Terms or any applicable Platform policy;
  • Deactivate Accounts that remain inactive for an extended period or exhibit suspicious, fraudulent, or abusive behaviour; and
  • Withhold or cancel ongoing bookings, payments, payouts, refunds, or other account-related transactions linked to such Accounts until verification, investigation, or resolution is complete.

All determinations made by Khidhki under this clause shall be final, conclusive, and binding.

3. Payments, Fees & Taxes

3.1 Booking and Payment Obligation

  • All bookings made through the Platform require advance payment of the applicable booking amount at the time of checkout unless otherwise specified by Khidhki.
  • Promotional offers, discounts, coupons, credits, or special pricing, where applicable, will be reflected during checkout and applied in accordance with their stated terms.
  • A booking is considered confirmed only after successful payment and receipt of a booking confirmation from Khidhki.

3.2 Payments, Fees & Taxes

The total amount payable may include Platform fees, service charges, convenience fees, taxes, and other applicable charges disclosed during checkout. Platform fees are charged for access to Khidhki's technology infrastructure, booking systems, customer support, payment facilitation, dispute resolution processes, and related operational services. Unless otherwise stated in the applicable cancellation or refund policy, Platform fees are non-refundable once a booking has been successfully confirmed.

3.3 Convenience Fee (Payment Gateway Charges)

Convenience Fees, also referred to as payment gateway charges or transaction-processing charges, are levied by third-party payment processors and are strictly non-refundable under all circumstances, including cancellations, refunds, or modifications.

3.4 Payment Flow and Secure Holding Facilitation

  • All payments shall be made exclusively through the Khidhki Platform using the approved payment gateways integrated with Rooted By Nature Services LLP.
  • Once payment is successfully received from the Customer, a binding engagement is formed directly between the Customer and the Service Provider under these Terms.
  • For payment facilitation purposes, receipt of funds by Khidhki shall constitute deemed receipt on behalf of the Service Provider. Such funds are securely held by Khidhki in a dedicated settlement capacity until the class, session, appointment, or service reaches completion, verification, or resolution under these Terms.
  • Khidhki functions as a limited payment-collection and dispute-facilitation intermediary, ensuring that:
  • a. Service Providers are paid for services duly completed and verified; and
  • b. Customers are protected against non-performance, delays, or breaches of obligations.
  • In cases of dispute, cancellation, or refund, Khidhki reserves the right to determine the final allocation of funds based on service records, communication logs, and deliverable evidence maintained on the Platform.

3.5 Escrow-Style Holding and Release Mechanism

Khidhki follows an escrow-style pre-payment and conditional release model for all bookings made through the Platform.

  • One hundred percent (100%) of the class, session, appointment, or service amount is collected in advance before commencement of work.
  • The received amount is securely maintained by Khidhki in its designated business account, reserved for the purpose of session settlements, until completion of the engagement.
  • Funds are released to the Service Provider after deduction of Khidhki's Platform Fee and Commission, GST on such Commission and the amount as agreed upon to be paid to the Service Provider in hand is disbursed on a monthly cycle only when:
  • a. The Customer and Service Provider successfully complete a class, session, appointment, or service.
  • b. The Customer and Service Provider successfully complete more than two (2) classes, sessions, or appointments of a bundle booked.
  • Khidhki reserves the right to withhold, adjust, or refund any portion of the held funds based on its findings under Clause 10 (Dispute Resolution).
  • All payments held by Khidhki are treated as being in trust for the limited purpose of class, session, appointment, or service fulfilment, verification, and settlement, and are disbursed strictly in accordance with these Terms and applicable Indian law.

3.6 Escrow-Style Payment Disclaimer

Khidhki operates an escrow-like payment model designed to safeguard both Customers and Service Providers through advance collection, secure holding, and conditional release of funds. This structure is similar to the functional principles of an escrow system, where payments are protected until delivery is verified.

However, Khidhki does not hold an escrow licence and does not operate a regulated escrow account under the Reserve Bank of India Act, 1934, or the Payment and Settlement Systems Act, 2007. All funds are handled through Khidhki's authorised business account in a dedicated settlement capacity and are maintained exclusively for facilitating transactions, refunds, and payouts between Customers and Service Providers.

Despite not being a licensed escrow service, Khidhki's payment-holding and release mechanism is designed to provide transparency, accountability, and security to help protect both parties throughout the transaction.

3.7 Taxation and Compliance

Since Khidhki, as a platform, provides services exclusively NRIs and Foreign Nationals, it is treated under the Goods and Services Tax Act, 2017, as an exporter of services from India. Accordingly, GST is not applicable on the price charged to an NRI customer or a Foreign national, subject to applicable law and eligibility requirements.

However, for Service Providers eligible to pay GST under the Goods and Services Act, 2017, GST will be applicable on the price decided as a cost to company towards a particular Session/Appointment/service to be paid to a Service Provider, which will be claimed back by Khidhki under the ITC mechanism under the GST Act. Khidhki shall issue GST-compliant invoices where required, including invoices relating to GST applicable on commission payable to Khidhki by the Service Provider. Customers and Service Providers are individually responsible for ensuring any additional tax filings, declarations, or compliance required under applicable Indian tax laws, including the Income-tax Act, 1961, and the Goods and Services Tax Act, 2017.

3.8 Refunds and Adjustments

  • Refunds, if applicable, shall be processed strictly in accordance with Khidhki's prevailing Cancellation, Rescheduling, and Refund Policy available on the Platform.
  • Customers acknowledge that payment gateway charges are non-refundable under any circumstances.
  • Approved refunds, once verified and approved by Khidhki, shall be initiated within seven (7) business days and credited only to the original payment source within ten (10) to fifteen (15) business days, subject to the processing timelines of the payment gateway provider and the issuing bank.

3.9 Right to Cancel or Suspend Bookings

Khidhki reserves the right to cancel, suspend, or withhold any booking or payment, at its sole discretion and without prior notice, in cases of:

  • delayed, incomplete, or reversed payments;
  • suspected fraud, chargeback, or payment gateway dispute;
  • breach of these Terms or Platform policies; or
  • violation of any applicable law or tax regulation.

4. Booking & Service Commitment

4.1 Booking Workflow

  1. When a Customer books a time slot through the individual calendar designated to each Service Provider on the Khidhki Platform, a binding engagement is formed directly between the Customer and the Service Provider under these Terms.
  2. A booking shall be deemed confirmed automatically upon completion of the booking process. Each Service Provider is provided with an individual calendar on the Platform and is responsible for managing their availability, including opening and closing booking slots through their dashboard. In cases where a Service Provider requests Khidhki to assist in managing their calendar, all obligations relating to calendar management shall continue to remain with the Service Provider. No liability, responsibility, or obligation shall be transferred to Khidhki by either the Service Provider or the Customer on account of such assistance.
  3. The service description, deliverables, timelines, and other details published on the Service Provider's profile, together with the specific service description selected at the time of booking, shall constitute the official and legally binding scope of work once payment has been completed and the booking has been confirmed. Any discussion, clarification, or instruction shared outside the approved deliverables section, including through chat, telephone, video call, email, or in-person communication, shall be treated as non-binding and shall not be enforceable for dispute-resolution, refund, or claim purposes unless formally incorporated into the service scope through a written modification approved through the Platform.
  4. Any modification to the deliverables, timelines, or scope of work after booking shall require the mutual consent of both parties through the Platform and may be subject to additional fees, as governed by Clause 5 (Cancellation, Modification and Refund Policy).

4.2 Customer Responsibility in Selection

  • Customers are solely responsible for reviewing the Service Provider's profile, portfolio, credentials, pricing, ratings, and service descriptions before confirming a booking.
  • While Khidhki may, upon request, suggest Service Provider profiles that appear relevant to a Customer's requirements, such suggestions are provided solely for convenience and shall not constitute an endorsement, warranty, guarantee, or assurance of performance.
  • The final decision to engage any Service Provider rests entirely with the Customer.

4.3 Formation of Binding Engagement

Upon a Service Provider receiving a booking through an available calendar slot on the Platform, a binding and enforceable agreement is formed directly between the Customer and the Service Provider, under which:

  • The Service Provider is obligated to deliver the agreed scope of work, deliverables, and timelines in a professional manner; and
  • The Customer is obligated to attend the scheduled service on time and provide timely inputs, approvals, information, and materials required for completion of the engagement.

All payments for the booked service shall be deemed to have been made in full at the time of booking, in accordance with Clause 4.

While the engagement for Professional Services exists directly between the Customer and the Service Provider, Khidhki provides the contractual framework, payment facilitation, and dispute-resolution oversight for such engagements. Khidhki does not itself perform or guarantee the Professional Services but retains authority to oversee platform compliance and determine outcomes in the event of a dispute.

4.4 Role of Khidhki as Mediator and Dispute Resolver

  • Khidhki acts as a neutral intermediary and dispute-resolution facilitator in cases involving disagreement, non-performance, delay, or deviation from agreed deliverables.
  • Khidhki's dispute-resolution authority may apply to situations including, but not limited to:
  • a. Material deviation between the Service Provider's represented portfolio, profile, or approved brief and the actual deliverables, as reasonably determined by Khidhki based on verifiable service records, submitted files, communications, and Customer-approved briefs. For clarity, "material deviation" refers to objective discrepancies in technical quality, scope, or content type and does not include subjective aesthetic preferences as further described in Clause 4.5.
  • b. Failure to adhere to agreed deliverables, timelines, or scope of work.
  • c. Operational, technical, or logistical deficiencies affecting service completion or deliverable usability.
  • Khidhki may review Platform records, communications, files, submissions, and deliverables and determine the appropriate remedy, which may include a refund, partial refund, payout adjustment, reassignment of bookings, or any other equitable measure deemed appropriate.
  • Subject to the dispute-resolution procedures outlined in Clause 10, Khidhki's determination under this clause shall be final, binding, and conclusive on both parties.

4.5 Creative Subjectivity and Artistic Judgment

Creative subjectivity, including differences in artistic style, aesthetic judgment, interpretation, or personal preference, shall not constitute valid grounds for a refund or dispute unless there is a demonstrable deviation from the approved brief, agreed deliverables, or professional standards of conduct.

Khidhki's review and oversight are limited to assessing compliance with agreed deliverables, timelines, platform policies, and procedural fairness, and do not extend to evaluating artistic merit or creative preference.

4.6 Validity of Platform Records

Information, communications, confirmations, deliverables, approvals, and files documented through the Platform shall be considered authentic and legally valid for determining obligations, deliverables, performance, and dispute outcomes.

Any off-platform or oral communication may not be relied upon as evidence unless it is documented, recorded, or otherwise approved through the Platform.

4.7 Third-Party Collaborations and Ancillary Bookings

If a booked Service Provider recommends, arranges, or introduces any additional professionals or third-party Service Providers, including but not limited to dermatologists, psychotherapists, nutritionists, language teachers, dance teachers, religious service providers, religious studies instructors, vastu and astrology consultants, fashion stylists, music teachers, financial advisers, legal advisers, or any other professional service provider, as part of a Customer's class, session, appointment, or service engagement, all such ancillary services must be booked exclusively through the Khidhki Platform.

No direct payments, side arrangements, or off-platform agreements shall be entered into between the Customer and such third parties without the prior written approval of Khidhki.

Any engagement, booking, payment, or arrangement made outside the Platform shall be deemed a violation of Clause 11.1(3) (Platform Circumvention) and may attract penalties, including, termination of contract, cancellation of ongoing bookings and monetary damages as provided under Clause 7.6.

Khidhki shall not be responsible or liable for any loss, dispute, miscommunication, deficiency in service, or other liability arising from unauthorised third-party arrangements made outside the Platform.

4.8 Legal Effect and Enforceability

By confirming and accepting a booking through the Platform, the Customer and the Service Provider acknowledge and agree that they have entered into a legally binding and enforceable agreement under applicable Indian law, with Khidhki serving as the designated intermediary for payment facilitation, platform compliance oversight, and dispute resolution.

5. Cancellation, Modification and Refund Policy

5.1 General Framework

This Clause governs all cancellations, rescheduling requests, modifications, and refund requests made in relation to bookings confirmed through the Khidhki Platform. It operates in conjunction with, and is further elaborated under, Khidhki's Cancellation & Rescheduling Policy and Refund Policy, which collectively form an integral part of these Terms.

All users acknowledge and agree that Khidhki, acting as an intermediary platform, facilitates engagements between Customers and independent Service Providers and that all confirmed bookings constitute legally binding agreements subject to the provisions of this Clause.

5.2 General Principles

  • All cancellation, rescheduling, or refund requests must be initiated exclusively through the Platform interface or by written communication to teamup@khidhki.com in the case of Service Providers and letsconnect@khidhki.com in the case of Customers.
  • Once a booking is confirmed and payment is processed, it shall be deemed a binding contract, subject to the cancellation and modification provisions set out herein.
  • Payment Gateway Charges and Convenience Fees are strictly non-refundable under all circumstances.
  • Any approved refund shall apply only to the base class, session, appointment, or service value, being the consideration agreed between the Customer and the Service Provider, and the Platform Fee applied by Khidhki, exclusive of Payment Gateway Charges.
  • All refunds, where approved, shall be remitted to the original payment source or to a verified bank account of the Customer within approximately seven (7) to ten (10) business days from the date of approval, subject to the reversal timelines applicable to the relevant payment gateway.

5.3 Customer-Initiated Cancellations

Refund eligibility shall be determined based on the timing of the cancellation request, the nature of the booking (single-day, multi-day, or bundle-based), and the stage of execution of the class, session, appointment, or service.

Refunds may be processed on a case-by-case basis, on a pro-rata basis, or by applying a fixed percentage retention of the base class, session, appointment, or service value, as specified in the detailed policy documents referenced above.

Bookings made on a short-notice basis, typically within forty-eight (48) to seventy-two (72) hours of the scheduled commencement, may attract higher retention or full retention to compensate for resource blocking and administrative effort.

In the case of shipment-based services, where the Customer delays dispatch of materials or fails to confirm a revised schedule within the prescribed time period, the booking may be deemed abandoned by the Customer, and standard cancellation-retention provisions shall apply.

5.4 Service Provider Unavailability or Cancellation

1. Service Provider-Initiated Cancellation Before Commencement

If a confirmed Service Provider withdraws, defaults, or becomes unavailable before the commencement of services, Khidhki shall, at its sole discretion, either:

  • a. Assign a replacement Service Provider of equivalent qualifications, cost, and availability to complete the engagement; or
  • b. If a replacement is not feasible or is declined by the Customer, process a full refund of the total class, session, appointment, or service value, including the Platform Fee, Convenience Fee, and any other applicable charges, to the original payment source.
  • 2. Service Provider Cancellation After Commencement

    If the Service Provider cancels after the commencement of work or during a class, session, appointment, or service, Khidhki shall:

  • a. Assess the proportion of work already completed and verified; and
  • b. Issue a pro-rata refund to the Customer for the unexecuted portion of the class, session, appointment, or service, including a proportionate reversal of the Platform Fee applicable to the unperformed portion.
  • In both cases, Khidhki retains full discretion to determine refund eligibility, replacement feasibility, and final financial adjustments based on Platform records, deliverables, and communications. Khidhki's obligations under this Clause are limited strictly to the remedies described above, and no further claims or liabilities shall arise.

    5.5 Modifications and Rescheduling

    • Requests for modification of the service scope, deliverables, or schedule may be considered only prior to the commencement of services and shall require the mutual consent of the Customer and the Service Provider.
    • Any modification initiated by the Customer that results in irrecoverable costs or losses, including but not limited to pre-booked resources or materials, shall be chargeable to the Customer in addition to any applicable fees.
    • Rescheduling shall be governed by the Platform's Cancellation, Rescheduling and Refund Policy.

    5.6 Unresponsive Customers and No-Shows

    • If a Customer remains unresponsive for a continuous period exceeding twenty (20) minutes after the scheduled commencement of an online class, session, appointment, or service, the engagement may, at Khidhki's discretion, be marked as a "No Show".
    • In such cases, one hundred percent (100%) of the charges for the session or service paid by the Customer shall be retained by Khidhki, with the Service Provider's share being released in accordance with the applicable payout cycle; and the Customer shall not be entitled to any refund.
    • In certain circumstances, and at the sole discretion of Khidhki, a Customer's request for a refund or partial refund may be considered where the No Show resulted from circumstances beyond the Customer's reasonable control, including but not limited to serious health issues or the untimely death of an immediate family member.
    • In such cases, Khidhki may require supporting documentation, including medical records, death certificates, or other relevant evidence, to verify the circumstances giving rise to the No Show.

    5.7 Force Majeure

    Khidhki shall not be liable for any delay, interruption, or failure in performance arising from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, strikes, government actions, network failures, internet outages, or pandemics. In such circumstances, Khidhki may, at its sole discretion, reschedule the engagement or process a refund of the recoverable portion after deducting any non-recoverable third-party costs.

    5.8 Determination and Finality

    Khidhki shall retain sole and final discretion in evaluating and determining the validity of all cancellation, modification, rescheduling, and refund requests. All determinations made by Khidhki under this Clause shall be final, conclusive, and binding upon all parties using the Platform.

    5.9 Reference Policies

    For further details and service-specific conditions, users are required to refer to the following policy documents, which are deemed incorporated herein by reference:

    These policy documents shall prevail in the event of any inconsistency or ambiguity with this Clause.

    6. Limitation of Liability

    6.1 Maximum Aggregate Liability

    To the fullest extent permitted under applicable law, the total and aggregate liability of ROOTED BY NATURE SERVICES LLP ("Khidhki") arising out of or in connection with any booking, transaction, or engagement facilitated through the Platform shall be strictly limited to the aggregate amount of Platform Fees actually retained by Khidhki for that specific booking, exclusive of the Base Class/Session/Appointment Value, Payment Gateway Charges, Convenience Fees, and applicable taxes.

    Under no circumstances shall Khidhki's liability exceed such amount, whether arising in contract, tort, equity, or otherwise. This limitation reflects Khidhki's limited role as an intermediary technology platform and constitutes a fair allocation of risk between the Customer, the Service Provider, and Khidhki.

    6.2 Exclusion of Indirect or Consequential Losses

    Khidhki shall not, under any circumstances, be liable for any indirect, incidental, special, punitive, exemplary, or consequential losses or damages, including but not limited to:

    • Loss of profits, revenue, goodwill, or anticipated business opportunities;
    • Creative dissatisfaction or subjective non-fulfilment of expectations;
    • Delay, non-performance, or miscommunication by independent Service Providers;
    • Third-party claims arising out of content, data, or intellectual property disputes;
    • Customer no-shows or failure to provide necessary information or materials;
    • Negligent, unlawful, or inappropriate conduct by any Service Provider;
    • Unauthorised use, sharing, or disclosure of Customer data or deliverables by Service Providers; and
    • Any loss or damage resulting from interactions between Customers and Service Providers conducted outside the Platform or in contravention of these Terms.

    6.3 Scope of Responsibility and Facilitation Role

    • Khidhki operates solely as an intermediary technology platform enabling discovery, communication, booking, and payment facilitation between Customers and independent Service Providers.
    • While Khidhki is not legally liable for the acts, omissions, delays, or non-performance of any Service Provider, Khidhki may, at its discretion, intervene as a facilitator and dispute resolver in good faith to review evidence, communications, and class/session/appointment records to determine an equitable course of action.
    • Such facilitation does not constitute an admission of fault or liability and is undertaken solely to promote operational fairness and maintain Platform integrity.
    • Customers acknowledge that Khidhki's determinations under its internal dispute-resolution process shall be final and binding, subject to the Dispute Resolution provisions contained in these Terms.
    • Khidhki's facilitation and resolution authority is limited strictly to the deliverables explicitly described by the Service Provider in their profile and, more specifically, to the deliverables stated for the particular service or sub-service booked by the Customer.
    • Any verbal discussion, chat exchange, or off-platform understanding that is not formally recorded in the deliverables section shall not be considered part of the contractual scope and will not be entertained for dispute, refund, or claim purposes.

    6.4 Disclaimer of Warranties

    All Platform features, tools, and support services are provided on an "as is" and "as available" basis. Khidhki expressly disclaims all warranties, whether express, implied, or statutory, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability of the Platform or its Services. While Khidhki endeavours to maintain high standards of security, uptime, and user experience, it makes no guarantee that the Platform will be free from errors, disruptions, or delays at all times.

    6.5 Liability for Shipped or Physical Goods

    • For services that require physical products, props, or materials to be shipped by the Service Provider to the Customer (including but not limited to fashion clothing, fabrics, spiritual materials, vastu and astrology-related products, crystals, and other materials), Khidhki shall not be liable for the condition, loss, delay, damage, or non-receipt of any such items during transit or while in the possession of the Customer.
    • Service Providers are solely responsible for ensuring that shipments are properly packaged, insured, and tracked through reliable logistics partners and for insuring their contents if they determine it necessary to do so.
    • In the event of any issue, Khidhki may, at its sole discretion and in good faith, facilitate communication between the parties and assist in reaching a fair resolution. However, such facilitation shall not create or imply any liability on the part of Khidhki.

    6.6 Clarification of Payment and Performance Guarantee

    • Khidhki functions solely as an intermediary and payment facilitator between Customers and independent Service Providers.
    • While all Customer payments are collected upfront and held securely by Khidhki in an escrow-style facilitation capacity, Khidhki does not guarantee the Service Provider's creative quality, timeliness, or performance outcomes.
    • In cases of verified non-performance or breach by the Service Provider, Khidhki may, with the Customer's approval, facilitate either:
    • a. Reassignment of the class/session/appointment to a replacement Service Provider of comparable skill and cost; or
    • b. A refund processed in accordance with the Platform's applicable Cancellation and Refund Policy.
    • Khidhki's retention of a portion of any booking amount, such as Platform Fees, Payment Gateway Charges, Convenience Fees, or cancellation-based deductions, shall not be construed as retention of funds for its own use, but rather as lawful recovery of administrative and operational costs incurred in managing the transaction.
    • All decisions regarding the release, refund, or retention of funds shall be made transparently and documented in accordance with Khidhki's applicable Platform policies and procedures.

    6.7 Intermediary Status and Vicarious Liability Exclusion

    Khidhki shall not be construed as an employer, principal, partner, or agent of any Service Provider, nor shall any Service Provider be deemed an employee, representative, or agent of Khidhki. Accordingly, Khidhki shall not be held vicariously liable for any act, omission, default, or misconduct of any Service Provider or third party engaged through the Platform.

    6.8 Limitation of Scope

    To the extent permitted under Indian law, Khidhki shall bear no liability for any loss, damage, or dispute arising from events or actions beyond its direct operational control, including but not limited to third-party system failures, payment gateway errors, or Force Majeure events as defined in these Terms. Khidhki's obligations are limited exclusively to facilitation, administrative coordination, and dispute mediation as defined in these Terms.

    6.9 Role of Customer Service Towards Class/Session/Appointment Services

    • For any issues, disputes, or clarifications relating to a confirmed booking, Khidhki provides customer-service support to oversee coordination, ensure smooth class/session/appointment execution, and provide administrative assistance to both the Customer and the Service Provider.
    • The Customer Service Executive acts solely as a facilitator and escalation point, not as a representative, negotiator, or agent of either party, and shall not communicate or correspond on behalf of either the Customer or the Service Provider.
    • All communication regarding class/session/appointment scope, deliverables, and approvals must continue to occur exclusively through the Khidhki Platform.
    • The Customer Service Executive's role is limited to monitoring progress, assisting in issue resolution, and ensuring adherence to Platform policies.
    • The presence or involvement of such personnel shall not create any agency, partnership, or fiduciary relationship between Khidhki and either party, nor expand Khidhki's liability beyond the scope defined in these Terms.

    7. Client Responsibilities

    7.1 Accuracy and Completeness of Information

    Customers shall provide accurate, complete, and timely information regarding the scope of services, deliverables, timelines, and any other class/session/appointment-related details. Khidhki shall not be held liable for any delay, miscommunication, or unsatisfactory outcome resulting from incomplete briefs, inaccurate information, or misaligned expectations.

    7.2 Obligations During Service Engagement

    Customers must ensure that:

    1. For remote or digital classes, sessions, appointments, or services, all assets, credentials, references, and supporting content are shared promptly to enable timely execution.
    2. Customers maintain regular and responsive communication throughout the class/session/appointment lifecycle, including review and feedback stages.
    3. Shipments of any products, garments, or materials to Service Providers are undertaken entirely at the Customer's risk and cost, using appropriate packaging and logistics services.
    4. Any delay by the Customer in providing required inputs, approvals, or materials shall not constitute a breach by Khidhki or the Service Provider.
    5. All payments for bookings, add-ons, or approved modifications shall be made exclusively through the Khidhki Platform prior to the initiation of such services. Khidhki does not support or recognise any off-platform or direct transaction between Customers and Service Providers.

    7.3 Prohibited Conduct

    Customers are strictly prohibited from:

    • Engaging, hiring, or attempting to hire any Service Provider outside the Khidhki Platform for a period of twelve (12) months following the completion of any service initiated through Khidhki, unless expressly authorised in writing by Khidhki.
    • Soliciting or encouraging Service Providers to bypass Khidhki's booking, communication, or payment systems, either directly or indirectly.
    • Requesting, sharing, or repeatedly asking for personal contact details, social media handles, or any other off-platform means of communication.
    • If a Customer is unable to connect with a Service Provider through the Platform's official chat system due to technical issues, the Customer must immediately notify Khidhki Support for assistance.
    • Abusing, harassing, threatening, or coercing Service Providers through any form of communication, whether on or off the Platform.

    Such Conduct will constitute a material breach and a serious violation of the Terms and Conditions and may lead to but not limited to termination of contract and/or Legal action.

    7.4 Confidentiality and Data Security

    Customers are solely responsible for safeguarding all confidential, proprietary, or sensitive materials, including but not limited to creative assets, brand data, trade secrets, and product designs shared with Service Providers. Khidhki shall bear no liability for any misuse, leak, or unauthorised disclosure, except where such loss arises directly and demonstrably from Khidhki's negligence or intentional misconduct.

    7.5 Default Confidentiality of Class/Session/Appointment Materials

    All information, files, and communications exchanged through the Khidhki Platform are automatically classified as confidential, whether or not a separate Non-Disclosure Agreement is executed.

    Both Customers and Service Providers shall:

    • Use such information strictly for fulfilling the booked class, session, appointment, or service; and
    • Delete or return all materials upon completion or upon written request by the other party.

    Unauthorised use or disclosure of such materials constitutes a material breach of these Terms and may lead to account termination and legal action.

    7.6 Consequences of Non-Compliance

    Any violation of the responsibilities outlined herein may result in appropriate remedial or disciplinary measures at Khidhki's discretion, including but not limited to:

    • Formal warning notices;
    • Temporary or permanent account suspension;
    • Forfeiture of ongoing or upcoming bookings;
    • Imposition of monetary penalties, including liquidated damages of up to twenty-five percent (25%) of the class/session/appointment value or USD 300, whichever is higher, in cases of platform circumvention, solicitation, or conduct causing demonstrable loss to Khidhki or its Service Providers, as further defined under Clause 11.1(3); or
    • Legal proceedings to protect the interests of Khidhki, its Service Providers, and other Customers.
    • Khidhki also reserves the right to withhold access to Platform services, booking privileges, or other Platform benefits during the investigation of any alleged misconduct or breach.

    8. Service Provider Responsibilities

    8.1 Professional Conduct and Quality Standards

    Service Providers registered on the Khidhki Platform shall maintain the highest standards of professionalism, integrity, and reliability throughout all engagements. Service Providers agree to:

    • Deliver services with due care, skill, and diligence, strictly adhering to the scope, timelines, and deliverables agreed upon through the Platform.
    • Perform work personally and not through any team member or third-party of whom Khidhki has not been informed or who is not enrolled on the Platform, thereby ensuring consistent professional quality.
    • Comply with all applicable Indian laws, including but not limited to intellectual property, labour, tax, and data protection laws, while performing their services.
    • Ensure that all content, images, videos, and creative materials delivered to Customers are original, legally obtained, and do not infringe upon any third-party rights.
    • Upload only their own original work to their portfolio on the Platform. Uploading or misrepresenting work created by others constitutes professional misconduct and a material breach of these Terms.

    Service Providers shall not use their own branding including but not limited to trademarks, logos, contact details, letter heads, etc while publishing/sharing documents or/and any other material and or product with the Customers.

    8.2 Communication and Platform Usage

    • All communication, deliverables, and coordination with Customers must occur exclusively through Khidhki's official systems, including the Platform's integrated chat and other integrated tools.
    • Sharing or requesting personal contact information, including phone numbers, email addresses, social media handles, or alternative payment links, is strictly prohibited and constitutes a material breach of these Terms.
    • Service Providers must maintain prompt, respectful, and professional communication at all times. Failure to respond within reasonable timeframes may result in reassignment, payment delays, or account suspension.
    • If a Service Provider experiences a technical issue that prevents communication through the Platform, they must immediately notify Khidhki Support for assistance.

    8.3 Relationship with Existing Service Provider Agreement

    Every Service Provider has executed a separate written agreement with Khidhki that includes many of the provisions contained in these Terms, together with Annexure A, which outlines additional Service Provider responsibilities.

    These Terms shall be read as an addendum to that written agreement. In the event of any conflict or inconsistency between these Terms and the written agreement executed between Khidhki and the Service Provider, the written agreement shall prevail and shall be binding on both parties.

    8.4 Timeliness and Delivery

    • The Service Provider agrees to perform all services in a timely, professional, and competent manner in accordance with these Terms.
    • Service Providers shall make all reasonable efforts to comply with agreed timelines for providing services through the Platform.
    • Misconduct shall include delays in joining sessions, No Shows, or early termination of services, unless mutually agreed upon by the Customer and the Service Provider. Such conduct may be deemed a violation under these Terms.
    • Service Providers must ensure that all final deliverables meet the professional, creative, and technical standards reasonably expected within their domain, in accordance with the Customer brief and applicable industry standards.

    8.5 Confidentiality and Data Protection

    • Service Providers shall maintain strict confidentiality over all Customer and Khidhki information obtained during engagements.
    • Service Providers are prohibited from sharing, disclosing, or reusing any Customer data, content, or brand assets for personal or commercial purposes, except where expressly permitted under Khidhki policies, including portfolio display with Customer consent.
    • Any breach of confidentiality or misuse of data may result in immediate termination and legal action under applicable Indian law, including the Information Technology Act, 2000.

    8.6 Default Confidentiality of Class/Session/Appointment Materials

    All information, files, and communications exchanged through the Khidhki Platform are automatically classified as confidential, whether or not a separate Non-Disclosure Agreement is executed.

    Both Customers and Service Providers shall:

    • Use such information strictly for fulfilling the booked class, session, appointment, or service; and
    • Delete or return all materials upon completion or upon written request by the other party.

    Unauthorised use or disclosure of such materials constitutes a material breach of these Terms and may lead to account termination and legal action.

    8.7 Compliance and Verification

    Service Providers must provide truthful, accurate, and updated information during registration, including identity documents, contact details, and bank account information.

    Khidhki reserves the right to verify credentials or documentation at any stage and suspend access where discrepancies are identified.

    Service Providers must comply with all applicable tax obligations relating to their earnings, including TDS and GST compliance requirements under applicable Indian law.

    8.8 Consequences of Breach

    Any violation of these responsibilities, including misrepresentation, plagiarism, off-platform transactions, delayed delivery, or unprofessional conduct, shall constitute a material breach of these Terms.

    Khidhki reserves the right to impose the following consequences:

    Violation Consequences (per calendar year covering violations arising from Cancellation/Rescheduling and/or violations arising under the Ethical Misconduct Policy)

    Please note that the total number of violations shall be calculated on a cumulative basis during a single calendar year:

    • 1st Occasion – 1st written warning
    • 2nd Occasion – 2nd written warning
    • 3rd Occasion – Penalty of ₹15,000
    • 4th Occasion – Termination of contract

    9. Branding & Promotional Restrictions

    9.1 Use of Khidhki's Brand Assets

    The Service Provider shall agree not use Khidhki's name, logo, tagline, trademark(s) or any other proprietary material for personal marketing or business development purposes unless explicitly authorised by Khidhki in writing in advance.

    9.2 Restriction on Self-Promotion

    The Service Provider shall not promote their own brand, logo, website, social media, or other personal services to Khidhki's customers, viewer, users or merchants during any sessions unless explicitly authorised by Khidhki in writing in advance.

    9.3 Intellectual Property

    1. The Service Provider acknowledges that Khidhki is the sole proprietor of the trademarks, patents, designs, copyright works and other intellectual property rights relating to their respective products. The Service Provider agrees that nothing in this Agreement shall give it any right, title, claim or interest in or to the trademarks, patents, designs, copyright works or any other intellectual property rights relating to the products and there is no transfer by Khidhki of any rights whatsoever to the Service Provider.
    2. The Service Provider further acknowledges that it shall never challenge the rights of Khidhki in and to the trademarks, patents, designs, copyright works or any other intellectual property rights.
    3. The Service Provider further undertakes never claim rights or use or apply for registration of any trade mark, patents, design, copyright works or any other intellectual property rights which, in the opinion of Khidhki, is considered to be identical, similar and/or deceptively similar to any of the trademarks, patents, designs, copyright works or any other intellectual property rights.
    4. Accordingly, the Service Provider is likewise not entitled to adopt and register the aforesaid intellectual property rights and/or designations as part of its business name or domain name or in the commercial register, any other public register or any other certification centre. The Service Provider is prohibited from using the trademarks, trade names, symbols, advertising, slogans, taglines or other designations belonging to Khidhki, except as otherwise provided in this Agreement or agreed to in writing by the Khidhki.
    5. If the Service Provider becomes aware of any third-party infringement of the intellectual property rights of Khidhki, then the Service Provider shall inform Khidhki of such infringement immediately. The Service Provider shall cooperate with Khidhki in relation to any such infringement and shall take all action reasonably requested by the Khidhki.
    6. Khidhki shall not be liable for any damages against any third-party claims made by the Service Provider against any other Service Provider associated and/or affiliated with Khidhki. Khidhki shall not be responsible or liable in any manner whatsoever in the event of any inter-se Service Provider disputes and/or legal claims.

    10. Dispute Resolution

    10.1 Internal Mediation

    Any user (Customer or Service Provider) may raise a formal dispute relating to a booking, payment, or service by emailing letsconnect@khidhki.com in the case of Customers and teamup@khidhki.com in the case of Service Providers within seven (7) working days of the issue arising or the scheduled service date, whichever is earlier.

    Khidhki will initiate an internal review and mediation process, during which it may:

    • Review all class, session, appointment, or service records and chat communications maintained on the Platform;
    • Pause the affected booking or payout pending review; and
    • Propose corrective action, replacement of the Service Provider, a refund, or any other remedy deemed appropriate.

    The written complaint must include:

    1. The Order ID and date of engagement;
    2. The service category, including but not limited to:
    • Dermatologists
    • Psychotherapists
    • Nutritionists
    • Language Teachers (Hindi, English, Urdu, Arabic, and Indian Regional Languages)
    • Indian Dance Teachers
    • Religious Services (Pandits, Maulanas, and Sikh Priests)
    • Religious Studies (Pandits, Maulanas, and Sikh Priests)
    • Vastu and Astrology Services
    • Indian Fashion Stylists
    • Indian Music Teachers
    • Financial and Legal Advice/Consultation
    1. A detailed description of the concern or alleged breach.

    Khidhki shall evaluate disputes only in relation to the deliverables expressly documented in the booking form on the Platform. Any expectation, clarification, instruction, or understanding not recorded in the deliverables section shall be treated as non-binding and outside the scope of review, dispute resolution, or refund consideration.

    10.2 Final Determination

    Khidhki shall evaluate all available evidence, communications, and Platform records in good faith and issue a final determination based on Platform policies and the facts presented. Such determination shall be final, conclusive, and binding on both the Customer and the Service Provider for all purposes within the Platform.

    10.3 Limitation of Liability

    Khidhki's role in dispute resolution is limited to mediation, facilitation, and administrative determination only. Khidhki does not act as a judicial, arbitral, quasi-judicial, or regulatory authority and shall not be liable for any dissatisfaction with its determination, nor for any consequential, indirect, incidental, special, or punitive damages arising from such determination.

    10.4 External Legal Recourse

    If any party remains dissatisfied following Khidhki's final determination, such party may pursue independent legal remedies directly against the counterparty (Customer or Service Provider) in accordance with applicable Indian law. Khidhki shall not be a necessary or proper party to such proceedings solely by reason of having facilitated the booking or issued a Platform-level determination.

    10.5 Jurisdiction and Governing Law

    This Agreement shall be governed by and construed in accordance with the laws of India. All proceedings relating to the enforcement of these Terms or any unresolved dispute arising out of or in connection with the Platform shall be subject to the exclusive jurisdiction of the courts in Delhi, India.

    10.6 Finality and External Legal Recourse

    • Khidhki's internal dispute resolution and mediation outcomes shall be considered final and binding for all purposes within the Platform, including payment release, refunds, reassignment, payout adjustments, account actions, and related administrative decisions.
    • If either the Customer or the Service Provider remains dissatisfied after Khidhki's determination, they may pursue independent legal remedies directly against the other party in accordance with applicable Indian law.
    • Khidhki shall not be a necessary or proper party to any such external proceedings and shall bear no liability for the outcome thereof, except to the extent required under applicable law.

    11. Prohibited Activities

    11.1 Scope

    All users of the Khidhki Platform, including Customers and Service Providers, must conduct themselves lawfully, professionally, and respectfully while engaging in any activity related to the Platform or a booking facilitated through it.

    The following activities are expressly prohibited and shall constitute a material breach of these Terms:

    1. Harassment and Abuse

    Engaging in any form of harassment, threats, intimidation, defamation, discrimination, or abusive conduct against Service Providers, Customers, or Khidhki personnel, whether through Platform communication tools, during the execution of a class, session, appointment, or service, or through any channel arising out of a Khidhki booking.

    2. Fraudulent Activity

    Submitting false, misleading, inaccurate, or fraudulent information at any stage, including during account registration, service briefing, payment, review, verification, or dispute resolution.

    3. Platform Circumvention

    • Users, including both Customers and Service Providers, are strictly prohibited from engaging in, soliciting, encouraging, or attempting to initiate any direct communication, negotiation, engagement, transaction, or continuation of work outside the Khidhki Platform, whether before, during, or after a booking process.
    • This restriction expressly applies throughout the duration of an active booking, including any in-person or on-site meetings conducted as part of a class, session, appointment, or service. While such meetings may be required for service execution, all commercial discussions, revisions, future engagements, and payment arrangements must continue to be routed and recorded exclusively through the Platform.
    • This prohibition includes, without limitation:
    • a. Approaching, contacting, or being approached by any Service Provider or Customer discovered through Khidhki without first creating a valid booking through the Platform;
    • b. Engaging, hiring, re-engaging, or continuing to work with any Service Provider or Customer outside the Platform for a period of twelve (12) months following the completion of any booking initiated through Khidhki; and
    • c. Discussing, negotiating, or finalising any new or extended class, session, appointment, or service directly during or after physical or online meetings without Khidhki's prior written consent.

    Any such act shall constitute a material breach of these Terms and may attract penalties, including liquidated damages as specified under Clause 7.6, immediate account suspension, termination, and/or legal action.

    4. Privacy and Data Violations

    Sharing, disclosing, publishing, distributing, or otherwise misusing any personal, private, confidential, or sensitive information, including but not limited to phone numbers, email addresses, identification documents, payment information, or service-related data of Service Providers, Customers, or Khidhki personnel, without prior written consent.

    5. Malicious or Disruptive Conduct

    Uploading, transmitting, introducing, or disseminating viruses, malware, malicious code, harmful software, or any content that may damage, disrupt, compromise, interfere with, or adversely affect the functionality, security, integrity, or availability of the Platform, its users, or its systems.

    6. Unauthorised Automation or Data Extraction

    Using bots, crawlers, scrapers, automated scripts, artificial intelligence tools, data-mining tools, or other automated means to access, collect, extract, copy, manipulate, or monitor Platform data, listings, communications, or user information without Khidhki's prior written authorisation.

    7. Intellectual Property Misuse

    Copying, reproducing, modifying, distributing, publishing, licensing, reverse engineering, exploiting, or creating derivative works from any part of the Platform, including Khidhki's brand name, trademarks, logo, proprietary content, software code, databases, designs, systems, or Service Provider content, without express written consent.

    8. Spam and Promotional Misuse

    Sending unsolicited communications, advertisements, promotional materials, marketing messages, bulk messages, or commercial solicitations through any Platform feature, or using Khidhki's systems for unrelated commercial activity.

    11.2 Consequences of Violation

    Any breach of this Clause may result, at Khidhki's sole discretion and without prior notice, in one or more of the following actions:

    • Formal warning or written notice;
    • Temporary or permanent suspension, restriction, or termination of the user account;
    • Cancellation of active or upcoming bookings without refund;
    • Forfeiture of promotional credits, discounts, rewards, or Platform benefits;
    • Reporting of the matter to appropriate law enforcement or regulatory authorities; and/or
    • Initiation of civil or criminal proceedings under applicable Indian laws, including the Information Technology Act, 2000, and other applicable laws.

    Khidhki may also impose liquidated damages or monetary penalties for any violation of this Clause, including but not limited to Platform Circumvention, as further detailed under the applicable Customer and Service Provider provisions of these Terms.

    In addition to the above, any verified instance of Platform Circumvention, including but not limited to off-platform payment, hiring, solicitation, engagement, re-engagement, or continued work between a Customer and a Service Provider originally introduced through Khidhki, shall attract liquidated damages equal to twenty-five percent (25%) of the total class, session, appointment, or service value, or USD 300, whichever is higher and applicable, payable to Khidhki as compensation for loss of business, operational disruption, reputational impact, and administrative costs.

    Where the circumvention occurs before a confirmed booking and no service value exists for computation, Khidhki may reasonably determine a representative service value based on the Service Provider's listed rates, historical bookings, or prevailing market rates for similar services and apply the same penalty accordingly.

    11.3 Interpretation and Enforcement

    Khidhki retains the exclusive right to interpret, determine, investigate, and enforce the provisions of this Clause.

    Any exception, waiver, permission, approval, or authorisation referenced herein may be granted, withheld, conditioned, or revoked entirely at Khidhki's sole discretion.

    All determinations made by Khidhki under this Clause shall be final and binding for Platform purposes, without prejudice to any rights available under applicable law.

    12. Governing Law and Jurisdiction

    12.1 Applicable Law

    These Terms and any dispute, claim, or controversy arising out of or relating to the use of the Khidhki Platform, its Services, or any transaction facilitated through it shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-law principles.

    12.2 Jurisdiction and Venue

    Subject to the grievance-handling and dispute-resolution procedures outlined under Clause 10 of these Terms, any legal action, proceeding, or enforcement arising out of or in connection with the Platform shall be subject to the exclusive jurisdiction of the competent courts located in Delhi, India.

    12.3 Finality of Khidhki's Determination

    All resolutions, findings, decisions, or determinations made by Khidhki under its internal grievance-handling or dispute-resolution mechanism shall be considered final and binding for the purposes of Platform administration, including refunds, payouts, account actions, booking adjustments, and compliance matters.

    However, either party retains the right to seek legal recourse before the competent courts of Delhi, India, in accordance with applicable Indian law.

    13. Indemnity

    You agree to indemnify, defend, and hold harmless Rooted by Nature Services LLP, Khidhki, its partners, directors, officers, employees, affiliates, representatives, and agents from and against any and all claims, liabilities, damages, losses, penalties, costs, or expenses (including reasonable legal fees and litigation costs) arising out of or relating to:

    • Your breach of these Terms or any applicable law;
    • Your violation of third-party rights, including intellectual property or privacy rights; or
    • Your conduct or content in connection with use of the Platform.

    This indemnity shall survive termination of your Account or cessation of Platform use.

    14. Force Majeure

    14.1 Events Beyond Control

    Khidhki shall not be held liable for any delay, interruption, or failure to perform its obligations under these Terms if such delay or failure results from circumstances beyond its reasonable control, including but not limited to:

    • Acts of God, natural disasters, floods, fires, or earthquakes;
    • Epidemics, pandemics, or government-imposed restrictions or lockdowns;
    • Technical failures, internet or network outages, server or infrastructure disruptions;
    • Acts, directives, or orders of governmental or judicial authorities, or changes in applicable law;
    • Labour disputes, strikes, or civil unrest; and
    • Delays or non-performance by third-party Service Providers or logistics partners.

    14.2 Suspension of Obligations

    During the continuance of a Force Majeure event, Khidhki's obligations under these Terms shall be deemed suspended to the extent and for the duration of such event. No refunds, damages, or compensation shall be payable for interruptions, delays, or failures resulting from any Force Majeure circumstance.

    14.3 Restoration of Service

    Khidhki shall make reasonable efforts to resume normal operations as soon as the Force Majeure condition ceases to exist but shall not be obligated to do so where resumption would be commercially impracticable or prohibited by law.

    16. Entire Agreement

    16.1 Complete Understanding

    These Terms, together with the Privacy Policy and any additional guidelines, rules, or policies referenced herein or on the Platform, as well as the physical written agreement signed between the Service Provider and Khidhki, constitute the entire agreement between you and Khidhki with respect to the Services and supersede all prior or contemporaneous understandings, agreements, or communications, whether oral or written.

    17. Severability

    17.1 Independent Validity

    If any provision of these Terms is determined to be invalid, unlawful, or unenforceable under applicable law, such provision shall be deemed severed without affecting the validity and enforceability of the remaining provisions, which shall continue in full force and effect.

    18. Waiver

    18.1 No Implied Waiver

    No failure, delay, or omission by Khidhki in exercising any right, remedy, or provision under these Terms shall constitute a waiver thereof. Any waiver must be expressly granted in writing to be legally valid and effective.

    19. Assignment

    19.1 Transfer of Rights and Obligations

    You may not assign or transfer your rights or obligations under these Terms without Khidhki's prior written consent. Khidhki may freely assign, transfer, or delegate its rights and obligations under these Terms, including as part of a merger, acquisition, restructuring, sale of assets, or by operation of law.

    20. Privacy and Communication Monitoring

    20.1 Reference to Privacy Policy

    Your use of the Khidhki Platform is also governed by our Privacy Policy, which forms an integral part of these Terms. The Privacy Policy explains in detail how Khidhki collects, uses, discloses, and protects your personal information, as well as your rights regarding such data under applicable Indian law, including the Digital Personal Data Protection Act, 2023.

    By continuing to use the Platform, you acknowledge that you have read, understood, and agreed to the Privacy Policy.

    20.2 Platform Communication Logs

    All communications, messages, chat transcripts, and files exchanged between Customers and Service Providers through the Platform are automatically logged and securely stored by Khidhki. These records may be accessed and reviewed by authorised personnel strictly for the purposes of:

    • dispute resolution and service verification;
    • operational assistance and customer support;
    • quality control and policy enforcement; and
    • compliance with applicable law or lawful requests.

    Khidhki does not access or disclose user communications for any commercial purpose.

    20.3 Consent to Monitoring

    By using the Platform and its chat, booking, or meeting features, you expressly consent to such logging and review as described above. You understand that this is essential to maintain service integrity, ensure compliance with these Terms, and enable Khidhki to intervene in cases of misconduct or dispute.

    20.4 Data Storage

    All personal data and communication logs are stored on servers located in India and processed in compliance with the Digital Personal Data Protection Act, 2023, and related Indian IT Rules.
